Terms and Conditions

Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("you," "your," or "user") and Ameristead Health ("Ameristead," "we," "us," or "our") concerning your access to and use of the www.ameristead.health website and any related mobile applications, services, and tools (collectively, the "Services").

By accessing or using our Services, you agree that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Services.

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Effective Date." Your continued use of the Services after any such changes constitutes your acceptance of the new Terms.

Eligibility

To use our Services, you must:

  • Be at least 18 years of age

  • Have the legal capacity to enter into a binding contract

  • Not be barred from using our Services under applicable law

  • Provide accurate and complete information during registration and enrollment

  • Reside in a state where Ameristead offers coverage

By using our Services, you represent and warrant that you meet all of these eligibility requirements.

Account Registration and Security

Account Creation

To access certain features of our Services, you may be required to create an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information

  • Maintain and promptly update your account information

  • Maintain the security and confidentiality of your login credentials

  • Notify us immediately of any unauthorized use of your account

  • Be responsible for all activities that occur under your account

Account Security

You are responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your login credentials.

Account Termination

We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms

  • Fraudulent or illegal activity

  • Providing false or misleading information

  • Non-payment of premiums

  • At your request

Use of Services

Permitted Use

You may use our Services only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Services in any way that violates any applicable federal, state, or local law

  • Impersonate or attempt to impersonate Ameristead, an Ameristead employee, another user, or any other person or entity

  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services

  • Use any robot, spider, or other automatic device to access the Services

  • Introduce viruses, trojans, worms, or other malicious code

  • Attempt to gain unauthorized access to any portion of the Services

  • Use the Services to transmit advertising or promotional material

  • Interfere with or disrupt the Services or servers or networks connected to the Services

  • Collect or store personal data about other users without their consent

Acceptable Use of Information

You agree to use information obtained from our Services only for purposes related to obtaining or managing your health insurance coverage. You may not use information from our Services for any commercial purpose without our express written consent.

Intellectual Property Rights

Our Intellectual Property

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Ameristead, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

Trademarks

The Ameristead name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Ameristead or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

Limited License

We grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include any right to:

  • Resell or make any commercial use of the Services

  • Modify, copy, or create derivative works based on the Services

  • Download (other than page caching) or copy any content for any purpose

  • Use any data mining, robots, or similar data gathering or extraction methods

  • Reverse engineer any aspect of the Services

Insurance Coverage and Enrollment

No Guarantee of Coverage

Use of our Services does not guarantee approval for health insurance coverage. All applications are subject to underwriting and approval based on eligibility requirements and applicable laws.

Plan Documents Control

These Terms govern your use of our website and Services. However, your health insurance coverage is governed by your plan documents, including your policy, certificate of coverage, summary plan description, and schedule of benefits. In the event of any conflict between these Terms and your plan documents, your plan documents will control with respect to your insurance coverage.

Accurate Information Required

You must provide accurate and complete information during the application and enrollment process. Providing false or misleading information may result in:

  • Denial of coverage

  • Cancellation of coverage

  • Denial of claims

  • Legal consequences

Premium Payments

If you enroll in a health insurance plan through our Services, you agree to pay all premiums and fees when due. Failure to pay premiums may result in cancellation of coverage.

Content You Provide

User Content

Our Services may allow you to submit, upload, or otherwise make available content, including personal information, documents, and communications ("User Content"). You retain ownership of your User Content, but you grant us certain rights to use it.

License to User Content

By providing User Content through our Services, you grant Ameristead a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, modify, adapt, publish, and display such User Content solely for the purposes of:

  • Providing and improving our Services

  • Processing your application and administering your coverage

  • Complying with legal obligations

  • Communicating with you about your coverage

Responsibility for User Content

You are solely responsible for your User Content and the consequences of providing it. You represent and warrant that:

  • You own or have the necessary rights to provide the User Content

  • Your User Content does not violate any third-party rights

  • Your User Content does not violate any applicable laws

Prohibited Content

You may not provide User Content that:

  • Is false, misleading, or fraudulent

  • Infringes any intellectual property or other rights

  • Contains viruses or malicious code

  • Violates any applicable law or regulation

Third-Party Links and Content

Our Services may contain links to third-party websites, applications, or services that are not owned or controlled by Ameristead. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Ameristead shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such third-party content, goods, or services available on or through any such third-party websites or services.

We strongly advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. AMERISTEAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY

  • FITNESS FOR A PARTICULAR PURPOSE

  • NON-INFRINGEMENT

  • ACCURACY, COMPLETENESS, OR RELIABILITY OF CONTENT

  • THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE

  • THAT DEFECTS WILL BE CORRECTED

  • THAT THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS

No advice or information, whether oral or written, obtained by you from Ameristead or through the Services will create any warranty not expressly stated in these Terms.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMERISTEAD, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • LOSS OF PROFITS

  • LOSS OF DATA

  • LOSS OF USE

  • LOSS OF GOODWILL

  • BUSINESS INTERRUPTION

  • OTHER INTANGIBLE LOSSES

This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if Ameristead has been advised of the possibility of such damage.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO AMERISTEAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Some jurisdictions do not allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitations may not apply to you.

Indemnification

You agree to defend, indemnify, and hold harmless Ameristead, its affiliates, and their respective directors, officers, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms

  • Your use of the Services

  • Your User Content

  • Your violation of any rights of another party

  • Your violation of any applicable laws or regulations

Governing Law and Dispute Resolution

Governing Law

These Terms and any dispute arising out of or related to these Terms or the Services shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Dispute Resolution

​

Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at support@ameristead.health. We will attempt to resolve the dispute informally within sixty (60) days.

​

Binding Arbitration

If we cannot resolve the dispute informally, any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA). The arbitration shall take place in Melbourne, Florida, and judgment on the arbitration award may be entered in any court having jurisdiction.

Exceptions

Either party may bring a claim in small claims court if it qualifies. Additionally, either party may seek injunctive or other equitable relief in court to prevent the infringement of intellectual property rights.

Class Action Waiver

YOU AND AMERISTEAD AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

Jury Trial Waiver

YOU AND AMERISTEAD WAIVE ANY RIGHT TO A JURY TRIAL.

Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our practices regarding the collection, use, and disclosure of your personal information.

Communication Preferences

By using our Services or providing your contact information, you consent to receive communications from us, including:

  • Transactional emails and messages related to your account and coverage

  • Administrative notices and updates

  • Marketing communications (you may opt out at any time)

  • Text messages (if you provide your mobile number and consent)

You may opt out of marketing communications by following the unsubscribe instructions in any marketing email or by contacting us at support@ameristead.health.

Electronic Communications and Signatures

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You consent to receive documents and communications electronically and agree that electronic signatures have the same legal effect as handwritten signatures.

Miscellaneous Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other policies or agreements referenced herein, constitute the entire agreement between you and Ameristead regarding the use of our Services and supersede any prior agreements.

​

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

​

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. Any waiver must be in writing and signed by an authorized representative of Ameristead.

Assignment

You may not assign or transfer these Terms or your rights and obligations under these Terms without our prior written consent. We may assign these Terms or any rights under these Terms without restriction.

​

No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights.

​

Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.

Headings

The headings in these Terms are for convenience only and have no legal or contractual effect.

​

Survival

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
